Zhang Wolong, senior lawyer at Shanghai Joius Law Firm, excels at cross-border and domestic merger&acquisition as well as investment and financing, offshore and domestic capital markets, foreign direct investment, and financial regulatory advisory etc. Wolong has been representing multiple foreign and domestic financial institutions and industry groups on cross-border and domestic investment matters, including but not limited to China Merchant Group, Singapore United Overseas Bank, Guangming Food Group, J.P. Represents the case

Wolong has advised international and domestic clients on the following matters:

Advise China Merchants Group in relation to its integration and acquisition of the entire port assets in Liaoning Province and provide full scale service, including leading a team to conduct a full scale due diligence (including a specialised landing due diligence), providing legal advice relating to the deal structure, preparing whole set of transaction documents, participating in deal negotiation process, leading pre-deal restructuring, providing legal advice relating to general offer in domestic/foreign listed companies, leading the anti-trust fillings etc. The total asset of the acquisition target amounts to over RMB200 billion, including 3 domestic/foreign listed companies along with hundreds of subsidiaries;

Advise a major foreign energy enterprise on its green field establishment of a 50-50 joint venture petrochemical plant with a domestic company in Zhejiang Province;

Advise a domestic water/environment enterprise on its outbound investment in two high-tech companies in Germany, i.e. a gas production company and a tube purification service provider;

Advise a domestic energy enterprise on its outbound investment in a power plant project in Australia;

Advise UOB Singapore on its capital subscription in Heng Feng Bank;

Advise a client on its potential investment in a major domestic life insurance company (involving elder-caring housing and real estate projects) relating to its upcoming restructuring;

Advise Shanghai Guangming Group on its negotiation with a new shareholder relating to a shareholders’ agreement in a joint venture entity (where such new shareholder entered into the joint venture via an acquisition of equity interest from the original foreign shareholder). Shanghai Guangming Group made the contribution with certain real estate asset;

Advise JP Morgen on its provision of an NPL acquisition loan to Bain Capital by providing legal due diligence services;

Advise Bain Capital on its acquisition of an NPL package involving domestic real estate assets by providing legal due diligence services;

Advise Adecco on its joint venture cooperation with FESCO relating to the establishment and operation of a human resource service corporation in Beijing;

Advise Adecco on its capital subscription in a joint venture with FESCO incorporated in Shaanxi Province;

Advise Softbank Vision Fund on its establishment of a wholly owned private fund manager in Shanghai and act as its PRC law general counsel;

Advise a foreign pharmaceutical focused investment fund on its Series C investment in a domestic drug research and development company;

Advise Russia-China Investment Fund on its Series C-2 investment in a domestic online education company;

Advise UBS AG on its acquisition of equity interest (and increase to 51%) in UBS Securities;

Advise St. Hubert (a French food manufacture company) on its sale of 100% equity interest in Brassica Holdings to Sanyuan (SH. 600429) and Fosun Group;

Advise The Dairy Farm Company Limited (subsidiary of Jardine Matheson) on its strategic investment in Yonghui Superstore (SH. 601933) as well as the subsequent share subscription by exercising its anti-dilution rights;

Advise a foreign entity on an investigation in relation to the insolvency of Joyou Materials Group;

Advise a foreign entity on its withdrawal of equity in a joint venture company; initiate mandatory liquidation petition against the joint venture company to the local court;

Advise HSBC on its establishment of a securities joint venture with Qianhai Financial Holdings Co., Ltd.;

Advise La Chapelle (HK. 6116) on its IPO on Hong Kong Stock Exchange;

Advise Orient Securities Co., Ltd. (HK. 3958) on its IPO on Hong Kong Stock Exchange;

Advise UBS, HSBC and other underwriters on the USD500 million Baosteel Group Corporation exchangeable bonds Hong Kong issuance in 2015;

Advise China Construction (SH. 601668) on USD500 million bonds Hong Kong issuance in 2015;

Advise China Development Bank on a facility lending to a project to be constructed by China National Offshore Oil Corporation;

Advise The Export-Import Bank of China on a facility lending to a hydro power project in Pakistan.
